Takadah Terms of Service

1. Acceptance of Terms
By accessing or using Takadah’s websites, services, mobile applications, or digital platforms ("Services"), you agree to be bound by these Terms of Service ("Terms"), and our Privacy Policy, which is incorporated by reference.
If you do not agree, you must not access or use our Services.
2. Eligibility
You must be at least 13 years old (or the minimum age in your country to consent to online services). If you are under the age of majority in your jurisdiction, your legal guardian must review and agree to these Terms.
3. Account Registration
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate and complete information.
- You may not impersonate another person or organization.
- Takadah reserves the right to suspend or delete accounts that violate these Terms.
4. User-Generated Content ("UGC")
"User Content" includes all text, stories, images, audio, video, metadata, comments, reviews, and any data submitted to the platform.
a. Ownership
- You retain full ownership of any original content you create and submit.
- By uploading, publishing, or submitting content to Takadah, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, distribute, promote, publicly display, reproduce, adapt, and translate your content for the purpose of providing, promoting, and improving the Services.
b. Rights You Grant Us
- For authors: This includes showcasing your work on our platform, enabling discovery and monetization, publishing previews, excerpts, or translated snippets, and using your content for internal training, analytics, and recommendation algorithms.
- For readers: This includes public comments, reviews, or reactions which may be featured for promotion or moderation.
c. You Agree Not To Upload Content That:
- Infringes upon copyrights, trademarks, or other intellectual property rights
- Is libelous, defamatory, or violates privacy or publicity rights
- Is pornographic, exploitative, or promotes violence
- Contains malware, viruses, or malicious code
- Violates any applicable law
You are solely responsible for the content you submit.
5. Copyright Infringement and DMCA Policy
If you believe your copyrighted work has been copied and made available on Takadah in a way that constitutes infringement, you may file a DMCA complaint with our Designated Agent.
We will:
- Respond to valid takedown notices under the Digital Millennium Copyright Act (DMCA)
- Suspend or terminate repeat infringers
- Restore content if a valid counter-notice is received
6. Licensing for Monetized Stories
Authors monetizing their work on Takadah agree to grant the platform an exclusive or non-exclusive license (as specified per program) to:
- Distribute the work to paying readers
- Use the work in bundles, campaigns, or promotions
- Translate and distribute derivative works when agreed upon
- Withhold royalties if the author is found to be in breach
Takadah does not claim full ownership unless a separate agreement (e.g., ghostwriting, exclusive publishing) is signed.
7. Crowdfunding & Revenue Share
Authors and readers participating in crowdfunding or revenue-share programs agree that:
- Takadah is not liable for failed funding, delivery delays, or project failure
- Rewards, benefits, or tiers are provided by creators, not Takadah
- Revenue share is calculated based on net receipts (after payment processor fees, taxes, or platform commissions)
We reserve the right to modify payout structures with notice.
8. Payment Terms
- Takadah may charge fees for services including story subscriptions, promotional placements, and premium tools.
- Authors receive payouts via designated third-party payment providers. You are responsible for ensuring your account is eligible for receiving funds.
- All users are responsible for any applicable taxes.
9. Platform Rights and Restrictions
You agree not to:
- Scrape, mine, or collect data from our platform without permission
- Use bots or automation to interact with the Services
- Circumvent security or access-control features
- Use the Service for unlawful, harmful, or deceptive purposes
Takadah may remove or restrict content or access for violations, without refund.
10. Takadah Intellectual Property
All trademarks, logos, site content (excluding user content), and design elements are the intellectual property of Takadah Inc. or its licensors.
You may not:
- Use Takadah branding without permission
- Reverse engineer or resell any part of the Services
- Frame or mirror Takadah content without authorization
11. Termination
Takadah reserves the right to suspend, restrict, or terminate your account if:
- You breach these Terms
- You engage in harmful or fraudulent conduct
- Your account remains inactive for a long period
You may terminate your account at any time via account settings.
Upon termination, licenses granted to Takadah remain in effect for promotional or archived use unless you explicitly revoke them in writing.
12. Disclaimers
- The Services are provided "AS IS" and "AS AVAILABLE" with no warranties of any kind.
- We do not guarantee uninterrupted service, error-free functionality, or complete security.
- We are not responsible for user content or third-party links.
13. Limitation of Liability
To the fullest extent permitted by law:
- Takadah shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim shall not exceed the amount paid to us by you in the last 12 months (if any)
14. Indemnification
You agree to indemnify and hold harmless Takadah, its officers, directors, employees, agents, and partners from any claim, demand, or liability, including reasonable attorney fees, arising out of:
- Your content
- Your use of the Services
- Your breach of these Terms
- Your violation of any rights of another
15. International Use
Takadah makes no representation that the Services are appropriate or available in your location. You use the Services at your own risk and are responsible for compliance with local laws.
16. Dispute Resolution
a. Governing Law
These Terms shall be governed by the laws of [Insert Jurisdiction, e.g., State of Delaware, USA], without regard to conflict-of-law principles.
b. Arbitration Clause
